Terms of Service

Introduction

This Terms of Service is a legal agreement between you and InsightDials (‘us’, ‘we’, ‘our’), which is a subsidiary of Product Box Private Limited. The term ‘you’ or ‘user’ refers to the entity using the application.

InsightDials is a Business Intelligence SaaS platform that aims to provide data visualisation dashboards for its customers.

By accepting these terms and using the application, you acknowledge that you have fully read the document and agree to these terms of service.

If you are agreeing to these Terms on behalf of a company, you agree that (1) you have the authority to enter into a binding obligation for the company, also (2) you are at least eighteen (18) years old to agree to these Terms (3) all information furnished by you to us are accurate and true. If you do not have such authority or are not eighteen years, or if you do not agree with these Terms, you may not use the Service.

Changes to these Terms

InisghtDials reserves the right, in our sole discretion, to modify, discontinue or terminate the Service or to modify these Terms of Service, at any time. These Terms are updated at https://inisghtdials.com/termsofservice. Any modification to the terms will be updated on this doc at this location, with the last revision date mentioned. Any modifications are effective immediately upon posting and apply to all users. Your continued access to or use of the application after any changes to these Terms of Use indicates your acceptance of such changes.

Use of the Service

You may create an account at InsightDials using an email address. By creating an account, you agree to receive notices from InsightDials to this email address.

All information entered by you on the application should be true, accurate and complete. You also agree that you have all rights, permissions and necessary authority to the third-party applications or data that you integrate with InsightDials. You acknowledge and agree that you are responsible for ensuring that you have all the rights and permissions to share Your Data for using the service.

InsightDials does not moderate the information or data integrated or uploaded by the user, but just processes the data to create visualizations.

Using of the application must comply with all applicable laws and regulations and ordinances. You agree to not engage in any activity that interferes with or disrupts the Service.

You are responsible for the security of Your account, passwords and other tokens. Also, it is your responsibility to keep your account safe by not allowing multiple people to use the same account. Additional users will have to be added separately.

Some subscription plans may allow you to grant other registered users access to your account. Both you and each team member are deemed a party to this Agreement. You are responsible for the actions of your team members and must monitor their access and usage.

Fees, Payment and Refund

We offer a 7day free trial to our users to test the system before making the purchase. When the free-trial period ends, your paid subscription begins and you must pay the subscription fee (unless you have cancelled the subscription). If you have chosen to pay the fee by recurring credit card charges, the fee will be charged automatically at the frequency you have selected.

All payments are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and You shall be solely responsible to remit such taxes, levies, or duties to the appropriate authority.

Any upgrade of the current plan or purchase of additional support or service offerings will result in an immediate charge to you of a prorated amount reflecting the increase in price for the remainder of the term of your Plan. Any decrease in your plan or downgrade in the support or service offering that you are receiving, will be reflected only at the beginning of the next term of your Plan. There will be no refunds or credits for partial periods of service or periods of inactivity.

Cancellation Policy

You may cancel your active subscription at any time through your InsightDials account. Any emails or chat requests to cancel your account will not be considered a cancellation. You will need to initiate the cancellation from your 'Accounts' section of your InsightDials dashboard and follow the provided cancellation instructions.

Upon cancellation of a subscription paid or under free-trial, user access to dashboards will be canceled or removed immediately. To regain access, users can reactivate it by subscribing to a new plan.

Upon cancellation of a paid subscription, there will not be any refund of your unused subscription amount. However, you won't incur any additional charges for subsequent recurring billings after cancellation for the next billing cycle.

Suspension of Accounts

InsightDials reserves the right to terminate any account immediately without prior notice, in the event of any unlawful activity or when the usage conflicts with public policy, fairness, or good conscience or if the terms of this agreement are violated. A customer account is also liable to be suspended for unrealised payments, 14 days after payment due date.

Feedback

Any feedback or ideas shared by you regarding the service or it’s improvement could be used by InisghtDials for the betterment of the service. By submitting any Idea, you agree that your disclosure is unsolicited and will not place InsightDials under any obligation, and that we are free to use the idea.

Limitation of Liability

IN NO EVENT WILL INSIGHTDILAS AND ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OR ANY BODILY INJURY, EMOTIONAL DISTRESS, DEATH OR ANY OTHER DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, HOWSOEVER CAUSED (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF INCOME, LOSS OF BUSINESS INFORMATION, LOSS OF GOODWILL OR BUSINESS REPUTATION, BUSINESS INTERRUPTION, INCREASED COSTS OF OPERATION, LITIGATION COSTS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, WORK STOPPAGE, ANY OTHER COMMERCIAL DAMAGES OR LOSSES, OR ANY PERSONAL INJURY OR PROPERTY DAMAGES, AND THE LIKE), WHETHER BASED UPON A CLAIM OR ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IN CONNECTION WITH THE SUPPLY, USE, OR PERFORMANCE OF THE SERVICE, REGARDLESS OF WHETHER INSIGHTDIALS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

THE LIMITATIONS OF THE DAMAGES SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN INSIGHTDIALS AND YOU. INSIGHTDIALS WOULD NOT HAVE BEEN ABLE TO PROVIDE THE SERVICE TO YOU WITHOUT SUCH LIMITATIONS.

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS THE CANCELLATION OF YOUR REGISTRATION. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO OR ARISING OUT OF YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF ACTION, EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO UTILIZE THE SERVICE OR (B) ONE HUNDRED DOLLARS ($100).

Disclaimer of Warranties

InsightDials warrants that: (i) it has validly entered into these Terms and has the legal power to do so; (ii) the Service will perform materially in accordance with the online documentation for the Service; and, (iii) the functionality of the Service will not be materially decreased during a subscription term.

INSIGHTDIALS PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. IF YOU ACCESS THE SERVICE, YOU DO SO AT YOUR OWN RISK. WE DO NOT GUARANTEE THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE EFFECTIVE, RELIABLE OR ACCURATE OR WILL MEET YOUR REQUIREMENTS. WE DO NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICE (EITHER DIRECTLY OR THROUGH THIRD-PARTY NETWORKS) AT TIMES OR LOCATIONS OF YOUR CHOOSING. INSIGHTDIALS DOES NOT WARRANT THAT THE SERVICE IS ACCURATE, WILL OPERATE ERROR-FREE, THAT ERRORS IN THE SERVICE WILL BE FIXED, THAT LOSS OF DATA WILL NOT OCCUR, OR THAT THE SERVICE OR SOFTWARE ARE FREE OF COMPUTER VIRUSES, CONTAMINANTS OR OTHER HARMFUL ITEMS. UNDER NO CIRCUMSTANCES WILL INSIGHTDIALS, ANY OF OUR AFFILIATES, AND/OR ANY OF OUR DIRECTORS, OFFICERS, EMPLOYEES, OR OTHER REPRESENTATIVES BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH THE SERVICE.

Jurisdiction

All disputes or claims against InsightDials would be subject to the sole jurisdiction of courts located at Ernakulam, Kerala, India.

Indemnification

The indemnification obligations set forth in this Section shall be the parties' exclusive rights and remedies with respect to this Agreement.

Indemnity by Client – Client shall indemnify and hold harmless InsightDials or affiliates, and each of their respective officers, directors, and employees from and against any and all claims, demands, liabilities, obligations, losses, damages, penalties, and fines of any kind and nature whatsoever (including reasonable attorneys' fees) brought by a third party under any theory of legal liability arising out of or related to any of the following: (a) Your breach of the Terms, (b) Your use of the Service, or (c) Your violation of applicable laws, rules or regulations in connection with the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature.
